Terms, conditions and user agreement for the service
Thank you for using APIHUB4AI! These Terms of Use apply to your use of our services for individuals, along with any related applications and websites (collectively, the "Services"). These Terms constitute an agreement between you and P4U Ltd., and include our Terms of Service and important provisions regarding dispute resolution through arbitration. By using our Services, you agree to these Terms. Our Commercial Terms govern the use of our platforms, APIs, and other services for businesses and developers. Our Privacy Policy explains how we collect and use personal data. While it is not part of these Terms, it is an important document that you should review.
Who we are
P4U is a company that integrates artificial intelligence models from various providers (suppliers). Our mission is to ensure that artificial intelligence combined with the services of our clients will bring great benefits to all of humanity.
Registration and access
Minimum age. You must be at least 13 years old or the minimum age required in your country to consent to use the Services. If you are under 18, you must have parental or legal guardian consent to use the Services.
Registration
You must provide accurate and complete information to register an account to use our Services. You cannot share your login credentials or provide your account to others, and you are responsible for all actions taken within your account. If you create an account or use the Services on behalf of another person or entity, you must be authorized to accept these Terms on their behalf.
Using our Services
What you can do.
You may access and use our Services, provided that you comply with these Terms. When using our Services, you must comply with all applicable laws, as well as our Content Guidelines, Usage Policies, and any other documentation, guidelines, or rules we provide you.
What you cannot do.
You cannot use our Services for illegal and harmful activities or to commit abuses. For example, you cannot:
Use our Services in a way that infringes, misappropriates, or violates anyone's rights.
Modify, copy, rent, sell, or distribute any of our Services.
Attempt to reverse engineer, decompile, or discover the source code or core components of our Services, including our models, algorithms, or systems (except to the extent such restriction is prohibited by applicable law) or assist anyone else in doing so.
Automatically or programmatically extract data or Output Data (defined below).
Claim that Output Data was generated by a human when it was not.
Interfere with or disrupt our Services, including circumventing any rate limits or security measures we implement in our Services.
Use Output Data to develop models that compete with OpenAI, Anthropic, ElevenLabs.
Software.
Our Services may allow you to download software, such as mobile apps, which may be automatically updated to ensure you are using the latest version. Our software may include open-source software that is subject to its own licenses, which we will provide to you.
Corporate domains.
If you create an account using an email address belonging to an organization (e.g., your employer), that account may be added to the organization's business account, in which case we will notify you so you can help transfer the account (unless the organization has already notified you that it may monitor and control your account). After your account is transferred, the organization's administrator will be able to control your account, including accessing Content (defined below) and restricting or removing your access to the account.
Third-party services.
Our services may include third-party software, products, or services ("Third-Party Services"), and some parts of our Services, such as the browsing feature, may contain output from these services ("Third-Party Output"). Third-Party Services and Third-Party Output are subject to their own terms, and we are not responsible for them.
Feedback.
We appreciate your feedback; you agree that we may use it without restriction or compensation to you.
Content
User Content.
You may provide input data to the Services ("Input Data") and receive output data from the Services based on the Input Data ("Output Data"). The Input Data and Output Data are collectively "Content". You are responsible for the Content, including ensuring it does not violate applicable laws or these Terms. You represent and warrant that you have all necessary rights, licenses, and permissions to provide the Input Data to our Services.
Ownership of Content.
In the relationship between you and P4U, and to the extent permitted by applicable law, (a) you retain ownership of the Input Data, and (b) you own the Output Data. We hereby transfer to you all of our rights, title, and interests, if any, in the Output Data.
Similarity of Content.
Due to the nature of our Services and AI in general, output data may not be unique, and other users may receive similar output data from our Services. The rights transfer above does not include output data of other users or any Third-Party Output.
Our use of Content.
We may use Content to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies, and ensure the security of our Services.
Accuracy.
Artificial intelligence and machine learning are rapidly evolving fields of science. We are constantly working to improve our Services to make them more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, using our Services may in some situations result in Output Data that does not accurately reflect actual people, places, or facts.
By using our Services, you understand and agree that:
Output Data may not always be accurate. You should not rely on Output Data from our Services as the sole source of truth or facts, or treat it as a substitute for professional advice.
Before using or sharing Output Data from the Services, you should evaluate the Output Data for accuracy and appropriateness for the intended use case, including, where appropriate, through human verification.
It is prohibited to use any Output Data about an individual for any purposes that could have legal or material impact on that individual, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about that individual.
Our Services may provide incomplete, incorrect, or offensive Output Data that do not reflect the views of P4U. If Output Data refers to third-party products or services, it does not mean the third party endorses or is affiliated with P4U.
Our intellectual property rights
We and our affiliates own all rights, title, and interests in the Services. You may use our name and logo only in accordance with our Brand Guidelines.
Paid accounts
Billing.
For any purchase of Services, you must provide complete and accurate billing information, including a valid payment method. For paid subscriptions, we will automatically charge your payment method upon each agreed periodic renewal until you cancel the subscription. You are responsible for all applicable taxes, and we will charge tax if required. If payment cannot be completed, we may downgrade your account or suspend your access to our Services until payment is received.
Service credits.
Some Services may be paid for in advance by purchasing service credits. All service credits are subject to our Service Credits Terms.
Cancellation.
You may cancel a paid subscription at any time. Payments are non-refundable, except as required by law. These Terms do not override any local consumer rights laws regarding the right to cancel subscriptions.
Changes.
We may change our prices from time to time. If we increase subscription prices, we will notify you at least 30 days in advance, and any price increase will take effect upon the next subscription renewal, so you can cancel the subscription if you do not agree to the price increase.
Termination and suspension
Termination of access.
You may stop using our Services at any time. We reserve the right to suspend or terminate your access to our Services or delete your account if we determine that:
You have violated these Terms or our Usage Policies.
We need to do so to comply with the law.
Your use of our Services may create risk or harm to P4U, our users, or others.
We may also close your account if it has been inactive for over a year and you do not have a paid account. In such cases, we will provide you with advance notice.
Appeals.
If you believe we suspended or closed your account in error, you can appeal by contacting our support team.
Discontinuation of services
We may decide to discontinue the Services, but if we do, we will notify you in advance and refund you for any prepaid, unused Services.
Disclaimer of warranties
OUR SERVICES ARE PROVIDED "AS-IS". EXCEPT AS PROHIBITED BY APPLICABLE LAW, NEITHER WE NOR ANY OF OUR AFFILIATES OR LICENSORS MAKE ANY EXPRESS, IMPLIED, STATUTORY OR OTHER WARRANTIES (INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE, OR WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE) REGARDING THE SERVICES. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED. YOU ACCEPT AND AGREE THAT YOUR USE OF THE OUTPUT DATA FROM OUR SERVICE IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON THE OUTPUT DATA AS THE SOLE SOURCE OF TRUTH OR FACTS OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.
Limitation of liability
NEITHER WE NOR ANY OF OUR AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF: THE AMOUNT PAID BY YOU FOR THE SERVICE GIVING RISE TO THE CLAIM WITHIN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY; OR ONE HUNDRED DOLLARS ($100). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
Some countries and states do not allow the disclaimer of certain warranties or the limitation of certain damages, so some or all of the above disclaimers and limitations may not apply to you, and you may have additional rights. In such cases, these Terms limit our liability only to the maximum extent permissible under the laws of your jurisdiction.
P4U'S AFFILIATES, SUPPLIERS, LICENSORS, AND DISTRIBUTORS ARE BENEFICIARIES OF THIS SECTION.
Indemnification
If you are a business or organization, to the extent permitted by law, you will defend, indemnify, and hold harmless us, our affiliates, and our personnel from and against any and all costs, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Services and Content or your violation of these Terms.
Dispute resolution
MANDATORY ARBITRATION AND CLASS ACTION WAIVER: MANDATORY ARBITRATION. You and P4U agree to resolve any claims arising out of or relating to these Terms or our Services, whenever the claim arose, even if prior to the effective date of these Terms ("Dispute"), through final and binding arbitration. You may opt out of arbitration within 30 days of creating an account or, for any updates to these arbitration terms, within 30 days of the update taking effect.
If you opt out of an update, the prior agreed-upon arbitration terms will apply. Informal dispute resolution. We would like to understand and try to resolve your concerns before taking formal legal action. Before either of us brings a claim against the other, we agree to try to resolve the Dispute informally.
We will send you an email notice to the email address associated with your account. If we cannot resolve the Dispute within 60 days, either of us may initiate arbitration proceedings. We also agree to participate in individual settlement discussions if either party requests them during this time. Any statute of limitations will be tolled during this informal dispute resolution process.
Exceptions.
This section does not require informal dispute resolution or arbitration for the following claims: (i) individual claims brought in small claims court; and (ii) for injunctive or other equitable relief to stop unauthorized use of the Services or their abuse or infringement or misappropriation of intellectual property.
WAIVER OF RIGHT TO PARTICIPATE IN CLASS ACTION AND JURY TRIAL. You and P4U agree that Disputes must be brought only on an individual basis and not as a representative or member of a class in any purported class, consolidated, or representative proceeding. Collective, class, and representative arbitrations and actions are prohibited. Only individual forms of relief are available. The parties agree to separately litigate any request for public injunctive relief after the completion of the arbitration of the underlying individual claim and all other claims related to it. This does not prevent any party from participating in a class settlement. You and P4U knowingly and voluntarily waive the right to trial by jury in any proceeding.
Severability.
If any portion of these arbitration terms is found to be unenforceable or unlawful for any reason, the remaining provisions shall remain in full force, except that if a finding of partial unenforceability or unlawfulness would allow for class, collective, or representative arbitration, the entire arbitration section shall be unenforceable.
General Terms
Assignment.
You cannot assign or transfer any rights or obligations arising from these Terms, and any attempts to do so will be void. We may transfer our rights or obligations arising from these Terms to any affiliated, subsidiary or successor entity of any company associated with our Services.
Changes to these Terms or our Services. We are constantly working on developing and improving our Services. From time to time, we may appropriately update these Terms or our Services. For example, we may make changes to these Terms or Services due to:
Changes in law or regulatory requirements
Security.
Circumstances beyond our control.
Changes made by us in the ordinary course of developing our Services.
Adapting to new technologies.
We will notify you at least 30 days in advance of changes to these Terms that have a material, adverse impact on you, via email or in-product notification. Any other changes will take effect upon posting on our website. If you do not agree to the changes, you must cease using our Services.
Delay in Enforcing these Terms.
Our failure to enforce a particular provision does not mean we waive the right to enforce it later. Except as set forth in the above dispute resolution section, if any part of these Terms is found to be invalid or unenforceable, that part will be enforced to the maximum extent permitted and the rest will remain in full force and effect.
You must comply with all applicable trade laws, including sanctions and export control laws. Our Services cannot be used in or on behalf of, exported or re-exported to (a) any country or territory subject to U.S. embargo or (b) any person or entity with whom dealings are prohibited or restricted under applicable trade laws. Our Services cannot be used for any end-uses prohibited by applicable trade laws, and your Input Data cannot contain materials or information whose disclosure or export requires government licensing.
Entire Agreement.
These Terms constitute the entire agreement between you and P4U with respect to the Services and, except for any terms specific to the Services, supersede any prior or contemporaneous agreements between you and P4U.
Governing Law.
These Terms are governed by the laws of the Republic of Poland, excluding its conflict of laws principles. Except as set forth in the above dispute resolution section, any claims arising out of or related to these Terms will be brought exclusively in the courts in Poland in Warsaw.
Cookie Settings
We use cookies to manage the Services and to collect information about you and your use of the Services. Cookies help us to recognize you, customize or personalize your experience, market additional products or services to you, and analyze the use of our Services to make it more useful to you. Cookies may also allow us to collect demographic and statistical data and provide this information to our service providers to help deliver their services.
